1. AGREEMENT TO TERMS
Dental Hub Solutions (“Company,” “we,” “us,” or “our”) provides the website www.dentalhubsolutions.ca (the “Site”), ECOBOTS, software applications, digital tools, and professional consulting services (collectively, the “Services”). By accessing or using the Services, you agree to comply with these Terms & Conditions (“Terms”), all applicable federal and provincial laws of Canada and Ontario, and all rules and regulations relevant to your use. If you do not agree to these Terms, you may not access or use the Services.
These Terms form a binding legal agreement between you (“User” or “you”) and Dental Hub Solutions.
Eligibility: You must be at least 18 years old and legally competent to enter into contracts under Ontario law.
2. DESCRIPTION OF SERVICES
Dental Hub Solutions provides:
● AI-powered communication tools, including ECOBOTS, for appointment management, patient communication, and office workflow optimization.
● Business support and consulting for dental offices, including analytics and operational guidance.
● Software platforms and dashboards for monitoring office performance, patient engagement, and reporting metrics.
● Integration services with third-party applications, including scheduling software and CRM tools.
You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and professional standards in Ontario, Canada.
3. USER REGISTRATION AND ACCOUNT
RESPONSIBILITIES
To use certain features, you must create an account:
1. Provide accurate, complete, and current information.
2. Keep your login credentials confidential.
3. Be responsible for all activity under your account.
4. Notify us immediately of any unauthorized use of your account.
We reserve the right to suspend, terminate, or reclaim any account or username that we deem inappropriate or offensive.
4. INTELLECTUAL PROPERTY
Ownership: All software, content, branding, designs, logos, graphics, videos, and other materials (collectively “Intellectual Property”) are owned by Dental Hub Solutions or its licensors.
Limited License: You may access and use the Services solely for internal business purposes. Any reproduction, distribution, or commercial use without prior written consent is prohibited. User Submissions: Any suggestions, feedback, or contributions (“Submissions”) are automatically granted to Dental Hub Solutions for unrestricted use. You represent that your Submissions are original, lawful, and do not infringe on third-party rights.
5. PAYMENT, SUBSCRIPTIONS, AND FEES
Payment Method: Payments must be made via e-transfer to the email address provided at checkout.
Subscription Terms:
● Annual subscription fees automatically renew unless canceled.
● Fees are non-refundable.
● Free trials (if offered) convert to paid subscriptions at the end of the trial.
Fee Changes: Any fee changes will be communicated in accordance with Canadian law.
Order Acceptance: We may refuse or cancel orders for any reason, including suspected fraud, errors, or violations of these Terms.
6. SOFTWARE USE AND LICENSES
Software License: All software, including ECOBOTS, is licensed, not sold. Use is subject to these Terms and any End User License Agreements (EULAs).
“As Is” Disclaimer: Software is provided “AS IS” without warranty of any kind. You assume all risks associated with the use of the software.
Restrictions: You may not reverse-engineer, decompile, distribute, or use software for unauthorized commercial purposes.
7. USER CONDUCT AND PROHIBITED ACTIVITIES
You may not:
1. Use Services for illegal or unauthorized purposes.
2. Attempt to access other users’ accounts.
3. Interfere with security or performance of the Services.
4. Upload viruses, malware, or harmful code.
5. Use automated scripts to access or manipulate Services.
6. Harass, threaten, or defraud other users or our employees.
Violation may result in suspension, termination, and legal action.
8. DATA COLLECTION, USE, AND PRIVACY
We comply with PIPEDA and Ontario privacy laws (including PHIPA).
Collection: We collect personal, health, and usage data to provide and improve Services.
Use: Data is used to provide Services, communicate with you, and ensure operational efficiency.
Third-Party Integrations: Certain Services may integrate with third-party applications; their privacy policies govern the use of your information.
De-identified Data: By using Services, you grant Dental Hub Solutions a perpetual, royalty-free license to use anonymized or aggregated data for research, development, and product improvement.
Data Security: We implement administrative, technical, and physical safeguards to protect you data. However, no system is entirely secure, and you assume the risk of unauthorized access or breaches.
9. DISCLAIMER OF WARRANTIES
Services and software are provided “AS IS” and “AS AVAILABLE.” Dental Hub Solutions expressly disclaims all warranties, including:
● Fitness for a particular purpose
● Accuracy or reliability of content
● Security of transmitted data
● Compatibility with third-party services
We do not guarantee uninterrupted or error-free operation of the Services.
10. LIMITATION OF LIABILITY
To the fullest extent permitted by Ontario law, Dental Hub Solutions is not liable for:
● Direct, indirect, incidental, consequential, or punitive damages
● Loss of profits, revenue, or data
● Errors, delays, or service interruptions
Liability, if any, is limited to fees paid in the six (6) months preceding the claim.
11. INDEMNIFICATION
You agree to indemnify and hold harmless Dental Hub Solutions, its affiliates, employees, and agents from all claims, damages, losses, or liabilities arising from:
1. Your use of the Services
2. Violation of these Terms
3. Breach of any law or third-party right
12. TERMINATION AND SUSPENSION
We may suspend or terminate your access:
● For violation of these Terms
● For illegal or harmful activity
● For failure to pay subscription fees
Termination may include deletion of accounts and data. You may not create a new account after termination.
13. GOVERNING LAW AND DISPUTE RESOLUTION
Law: These Terms are governed by Ontario law.
Dispute Resolution:
● Attempt informal resolution for 30 days.
● If unresolved, disputes may proceed to binding arbitration in Ontario, excluding class actions.
● Exceptions: Intellectual property claims, privacy breaches, or injunctive relief are exempt from arbitration.
14. ELECTRONIC COMMUNICATIONS
Using Services constitutes consent to receive communications electronically, including:
● Notices, agreements, and invoices
● Transactional or promotional messages
● SMS messages if opted in (reply “STOP” to unsubscribe)
15. MISCELLANEOUS
● Entire Agreement: These Terms are the full agreement.
● Severability: Invalid provisions do not affect remaining Terms.
● No Waiver: Failure to enforce a provision does not waive rights.
● No Agency: No partnership or employment relationship is created.
